General Terms & Conditions
About these Terms. These General Terms & Conditions (“General Terms”) form a legally binding agreement between you and Retrig Media governing your use of the Retrig Media platform (the “Platform”). By registering an account, clicking any acceptance control, or using the Platform, you accept these General Terms in full. They include the payment terms set out in Section 18.
1. Platform role: intermediary
Retrig Media is a technology platform and intermediary facilitating relationships between affiliates (“Affiliates”) and advertisers (“Advertisers”). We are not a party to any Deal between an Affiliate and an Advertiser and do not guarantee any Advertiser’s solvency or performance.
2. Eligibility
You must be at least 18 and legally capable of entering binding contracts. The Platform is for business-to-business use only.
3. Account registration and security
Provide accurate information, keep your credentials confidential, and hold only one account.
4. Prohibited conduct
No fraud, traffic manipulation, unapproved incentivised traffic or bots, spam, unauthorised brand-keyword bidding, self-referral, money laundering, interference with the Platform, or reverse engineering.
5. Intellectual property
The Platform and Retrig Media intellectual property are owned exclusively by Retrig Media.
6. Confidentiality
Confidential information received through the Platform must be kept confidential and survives termination.
7. Availability and tracking
The Platform is provided best-efforts. Retrig Media’s own tracking records are authoritative in a dispute unless a material error is shown by clear evidence.
8. Suspension, investigation, termination
We may suspend or terminate accounts for suspected fraud, prohibited conduct, or breach, and may withhold pending payouts during an investigation.
9. Limitation of liability
To the maximum extent permitted by law, our aggregate liability shall not exceed the commissions paid to you in the preceding three months, or USD 500, whichever is lower.
10. Indemnification
You will indemnify Retrig Media against claims arising from your use of the Platform, breach of these Terms, or your marketing activities.
11. Force majeure
We are not liable for failures resulting from circumstances beyond our reasonable control.
12. Affiliate obligations
Comply with advertising, consumer-protection, and data-protection laws and hold any authorisations, licences, or permits required for your vertical and target jurisdictions. You are responsible for your published content.
13. Commissions
Commissions follow the Deal terms (CPA, CPL, RevShare, or Hybrid) and are subject to Advertiser validation of conversions. Commissions are payable in accordance with Section 18 (Payments).
14. Traffic quality and fraud
Only genuine, compliant traffic is permitted; bot traffic, click fraud, fake leads, and synthetic accounts result in reversal and possible termination.
15. Clawbacks
We may reverse commissions relating to fraudulent, disputed, or erroneous conversions and offset negative balances against future commissions.
16. Tax
You are solely responsible for your tax obligations. We do not provide tax advice.
17. Advertiser obligations
Advertisers must hold required authorisations, report accurately, honour Deal terms, and pay invoices on time.
18. Payments
This Section sets out the payment terms that apply to all Commissions payable under these General Terms.
18.1 The conditional payment principle
Retrig Media pays Affiliates only after receiving cleared funds from the relevant Advertiser. We act as a payment conduit and do not advance, guarantee, or underwrite commission payments.
18.2 Payment schedule
Commissions are calculated monthly following period close. Dashboard dates are estimates, not guarantees.
18.3 Minimum payment threshold
A minimum balance of EUR 100 (or equivalent) is required before a payout is processed; balances below roll over.
18.4 Payment methods
Methods are listed in the dashboard. Affiliates are responsible for accurate payment details.
18.5 Validation and commission approval
All commissions are subject to Advertiser validation of conversions and revenue. Dashboard balances are not confirmation of final approval.
18.6 Fraud, invalid traffic, and reversal
Commissions from fraudulent, prohibited, or invalid traffic are reversed, including bot traffic, self-referrals, unapproved incentivised traffic, fake registrations, prohibited-territory traffic, and test traffic.
18.7 Revenue-share commissions
Where a Deal is RevShare, commissions are a share of net revenue attributable to your referred activity, as defined in the Deal terms. Net-revenue definitions and any vertical-specific adjustments are set out in the Deal terms and applicable vertical-specific documents. Where a Deal provides for negative carry, negative balances carry forward and must be recovered before further RevShare is payable.
18.8 Tracking discrepancies
Retrig Media’s own tracking records are the primary reference for commission calculation.
18.9 Payment holds and compliance reviews
We may hold balances during a fraud or compliance review, a traffic dispute, suspension, outstanding KYC, or a legal freeze instruction.
18.10 KYC requirements
We may request KYC documentation before any payment; failure to provide it within 14 days may result in payment suspension and termination.
18.11 Vertical-specific payment terms
Certain regulated verticals carry additional payment terms set out in the applicable vertical-specific documents, which apply only to Affiliates operating in that vertical.
19. Vertical-specific terms (appendices)
Certain regulated or specialised verticals are governed by additional vertical-specific documents. Where you elect to operate in such a vertical, those documents are incorporated by reference and must be accepted before you may access opportunities in that vertical; they prevail over these General Terms only for activity within that vertical. Affiliates who do not operate in a vertical are not bound by its documents.
20. Privacy
Personal data is governed by the separate Privacy Policy, which forms part of these General Terms.
21. Miscellaneous
These General Terms, the Privacy Policy, and any applicable vertical-specific documents are the entire agreement. Independent contractors; no waiver by non-enforcement; severability applies. Notices: sales@retrigmedia.com.
